DopamineMind Tricks James Earlen Tracey My, EXCLUSIVE LICENSE THIS LICENSE AGREEMENT is made by and between the User (hereinafter referred to as the “Licensee"), and the Producer ("Songwriter"). (hereinafter referred to as the "Licensor"). ● Licensor warrants that Licensee controls the mechanical rights in and to the copyrighted musical work upon full payment of license. ("Composition"). The Composition, including the music thereof, was gained by the Producer ("Songwriter") managed under the Licensor. All licenses are non-refundable and non- transferable. Master Use. The Licensor hereby grants to License an exclusive license (this "License) to record vocal synchronization (AI) audio to the Composition partly or in its entirety and substantially in its original form ("Master Recording”) Mechanical Rights. The Licensor hereby grants to Licensee an exclusive license to use Master Recording in the reproduction, duplication, manufacture, and distribution of phonograph records, cassette tapes, compact disk, digital downloads, other miscellaneous audio and digital recordings, and any lifts and versions thereof (collectively, the "Recordings", and individually, a "Recordings") worldwide for up to the pressing or selling a total of Infinite (IE) copies of such Recordings or any combination of such Recordings, condition upon the payment to the Licensor a sum of one Independent producer an accounted credit, receipt of which is confirmed. Additionally licensor shall be permitted to distribute Unlimited free internet downloads or streams for profit and commercial use. This license allows up to Infinite (IE) monetized audio streams to sites like (Spotify, RDIO, Rhapsody) and any other digital and 3rd party market for CD and record sales and full Performance Rights. The Licensor here by grants to Licensee an exclusive license to use the Master Recording in Unlimited profit performances, shows, or concerts. Licensee may receive compensation from performances with this license. Synchronization Rights. The Licensor hereby grants limited synchronization rights for Infinite (IE) music video streamed online (Youtube, Vimeo, etc..) for monetized video streams on all total sites. A separate synchronization license does not need to be purchased for distribution of video to Television, Film or Video game. Broadcast Rights. The Licensor hereby grants to Licensee full broadcasting rights. Credit. Licensee needs to show no acknowledgement to the original authorship of the Composition but be appropriately and reasonably in all media and performance formats in writing where possible and vocally otherwise no discrimination,no racism,prejudice is always ok you have.ypunown views and so is arogance you have your pride where you hold it.. Breach by License 1. Licensee shall have infinite (IE) business days from its receipt of written notice by Producer and/or Producer’s authorized representative to cure any alleged breach of this Agreement by Licensee. Licensee’s failure to cure the alleged breach within infinite (IE) business days shall result in Licensee’s default of its obligations rendered none but moral, its breach of this Agreement, and at Producer's sole discretion, the termination of Licensee’s rights hereunder. 2. Licensee cannot engage in the commercial exploitation and/or sale of the Beat or New Song outside of the manner and amount expressly provided for in this Agreement it's Infinite. (IE), Licensee shall be liable to Producer for one payment for full ownership and liscence in an amount equal to any and all monies paid, collected by, or received by Licensee, or any third party on its behalf, in connection with such authorized commercial exploitation of the Beat and/or New Song. 3. Licensee recognizes and agrees that a breach or threatened breach of this Agreement by Licensee give rise to irreparable injury to Producer, which may not be adequately compensated by damages. Accordingly, in the event of a breach or threatened breach by the Licensee of the provisions of this Agreement, Producer may seek and shall be entitled to a temporary restraining order and preliminary injunction restraining the Licensee from violating the provisions of this Agreement. Nothing herein shall prohibit Producer from pursuing any other available legal or equitable remedy from such breach or threatened breach, including but not limited to the recovery of damages from the unpaid License. The Licensee shall be responsible for all costs, expenses or damages that Producer incurs as a result of any violation by the Licensee of any provision of this Agreement. Licensee’ obligation shall include court costs, litigation expenses, and reasonable attorneys' fees. Indemnification. Accordingly, Licensee agrees to indemnify and hold Licensor harmless from and against any and all claims, losses, damages, costs, expenses, including, without limitation, reasonable attorney's fees, arising of or resulting from a claimed breach of any of Licensee's representations, warranties or agreements hereunder. Audio Samples. 3rd party sample clearance is the responsibility of the licensee after aquired. Miscellaneous. This license is non-transferable and is limited to the (IE) Composition specified above,it conveys and grants any right of public performance for profit, constitutes the entire agreement between the Licensor and the Licensee relating to the Composition, and shall be binding upon both the Licensor and the Licensee and their respective successors, assigns, and legal representatives. Governing Law. This License is governed by and shall be construed under the law of the All 50 states giving freedom of speech amendment to you above all! United States of America, without regard to the conflicts of laws principles thereof. Term. Executed by the Licensor and the Licensee, to be effective as for all purposes as of the Effective Date first mentioned above and shall terminate never from this date. Publishing. Licensor grants Licensee 100% of publishing rights of Master Recording. Licensor maintains 100% of the publisher’s share and 100% of the songwriter’s share of the Master Recording. Composer rights are as follows, Being as 2pac Shakur changed his name and was not born with the name 2pac Shakur, Tupac Shakur, Spelt on release as "2pac Shakure" (Tupac Shakure) "Dopamine Mind Tricks" whom is "James Earlen Tracey", is granted 100% rights to his use of any (AI) audio and or other audio he had prepared and or actually came upon, for use of his music 100% as it is directed to him from his own audio, not breaking any©️Copyrights law.
